The User using the Website www.finpass.com (the "Site") and the services made available on the Site or on Applications, Tools, Plugins, Extensions, APIs published on the Site and available for distribution on registered, recognized and official 3rd party platforms, is subject to these Terms of Service.

This page will be updated whenever there is a change to the Terms. It is your responsibility to check this URL frequently to keep yourself informed about Finpass's Terms. The then-current version of these Terms will supersede all earlier versions, and continued use of the Services after changes have been published constitutes acceptance of the revised Terms.

About Finpass

FINPASS TECHNOLOGIES PRIVATE LIMITED ("Finpass", "Company", "we", "us", or "our") is a company registered under the Companies Act, 2013, India. Finpass provides AI-powered financial data intelligence software and services for NBFCs, banks, and fintech companies.

Our software and services include but are not limited to:

• Bank Statement Analyser (BSA) - AI-powered analysis of bank statements for creditworthiness assessment
• SMS Analyser - Analysis of transactional SMS for income and expense verification
• Account Aggregator (AA) - RBI-compliant consent-based financial data aggregation
• Underwriting IQ (UIQ) - Comprehensive credit decisioning and risk assessment platform

Acceptance of Terms

By accessing or using our Site and Services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our Services.

If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

User Account and Security

To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

It is the User's responsibility to keep their access credentials to the Site safe and protected from unintended use. The User further agrees to notify the Company if the password is lost, stolen, disclosed to an unauthorized third party, or otherwise compromised and takes full responsibility for all activities under the User's account.

The User agrees to immediately notify the Company of any unauthorized use of the account or any other breach of security.

User Content

Finpass doesn't have any license for or doesn't claim ownership rights pertaining to any documents, files, or data submitted by you to its platform for using its Services ("Content"). These Terms do not grant us any licenses or rights to your Content except for the limited rights needed for us to provide the Services to you.

User assures the Company that Content submitted is free from virus, trojans, malware, malicious scripts, etc. The User is solely responsible for ensuring that any Content submitted complies with all applicable laws and regulations.

Intellectual Property

The User acknowledges that all rights, title and interests in the Site and/or Services and all Intellectual Property rights therein are solely and absolutely owned by the Company or its licensor. Nothing in this Agreement provides any right, title and interests of license, assignment or ownership in the Site and/or the Services.

The Finpass name, logo, and all related product and service names, design marks, and slogans are trademarks or service marks of Finpass Technologies Private Limited. You are not authorized to use any such marks without the prior written permission of Finpass.

Prohibited Uses

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services
• Interfere with or disrupt the integrity or performance of the Services or third-party data contained therein
• Copy, modify, distribute, sell, or lease any part of our Services or included software
• Reverse engineer or attempt to extract the source code of our software
• Use the Services to process data without proper consent from data subjects
• Transmit any viruses, malware, or other malicious code through the Services

Third Party Services

The Services may integrate with or provide access to third-party services, including but not limited to RBI-licensed Account Aggregators, banks, and other financial institutions. Your use of such third-party services is subject to their respective terms of service and privacy policies.

Finpass is not responsible for the availability, accuracy, or content of any third-party services, and your use of such services is at your own risk.

Confidentiality

Each party agrees to maintain the confidentiality of any proprietary or confidential information disclosed by the other party. This includes, but is not limited to, business plans, technical data, product specifications, and customer information.

This obligation shall not apply to information that is publicly available, was known to the receiving party before disclosure, or is independently developed without use of the confidential information.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Finpass does not warrant that the Services will be uninterrupted, error-free, or completely secure. Finpass does not guarantee the accuracy of any credit assessments, risk scores, or recommendations generated by the Services. All lending and business decisions remain the sole responsibility of the User.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FINPASS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

Finpass's total liability for any claims arising out of or relating to these Terms or the Services shall not exceed the amount paid by you to Finpass during the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Finpass and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, violation of these Terms, or violation of any rights of a third party.

Termination

Finpass may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law and Jurisdiction

This Agreement shall be governed by the laws of India. All disputes, claims and actions arising out of this Agreement or its validity will be subject exclusively to the jurisdiction of the competent courts at New Delhi, India.

Any dispute arising out of or relating to this Agreement shall first be attempted to be resolved through good faith negotiation between the parties. If such negotiation fails, the dispute shall be settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms constitute the entire agreement between you and Finpass regarding the use of the Services, superseding any prior agreements between you and Finpass relating to the Services.
